These Gateway Offer Terms (“Terms”) govern the promotional giveaway of the free Browan Minhub Gateway provided by Choovio Inc (operating through choovio.com and gobee.io) as part of our IoT Total Solution Service. By activating the Gateway, the Customer agrees to be bound by these Terms.

1. Gateway Use and Ownership
1.1. The free Browan Minhub Gateway (“Gateway”) is provided solely as an incentive to help Customers test and experience LoRaWAN technology as part of our service.
1.2. The Gateway remains the property of Choovio Inc at all times.
1.3. The Customer is granted a non‑transferable, non‑exclusive right to use the Gateway during the term of an active subscription.

2. Activation and Effective Date
2.1. These Terms become effective on the date the Customer first activates or uses the Gateway (“Effective Date”).
2.2. Each Customer’s Effective Date will be recorded individually upon activation.

3. Cancellation and Return Policy
3.1. If the Customer cancels their subscription within one (1) year of the Effective Date, the Customer must return the Gateway.
    a. The Customer is responsible for all shipping costs to return the Gateway.
    b. The Gateway must be returned in acceptable used condition, including the original packaging and all accessories. Any failure to do so may result in additional fees for repackaging or missing items.
3.2. If the Customer cancels the subscription after one (1) year from the Effective Date, the Customer agrees to be charged a one‑time fee of $79 for the Gateway.

4. Warranty and Service
4.1. The Gateway is provided “AS IS” and without any warranty, either express or implied.
4.2. In the event of a failure of the Gateway, the Company will provide support only if the product remains in stock.
4.3. If the Gateway is unavailable due to stock limitations, the Company may offer the Customer the opportunity to purchase a replacement Gateway at a discounted price.
4.4. The Customer acknowledges that by accepting the Gateway, they waive any claims based on warranty.

5. Limitation of Liability and Indemnification
5.1. Choovio Inc shall not be liable for any direct, indirect, incidental, or consequential damages arising from the Customer’s use or inability to use the Gateway.
5.2. The Customer agrees to indemnify and hold harmless Choovio Inc, its affiliates, and their respective officers, directors, and employees from any claims arising from the Customer’s breach of these Terms or misuse of the Gateway.

6. Modifications and Governing Law
6.1. Choovio Inc reserves the right to modify these Terms at any time, with any material changes communicated to the Customer. Continued use of the Gateway after such changes constitutes acceptance of the new terms.
6.2. These Terms shall be governed by and construed in accordance with the laws applicable to Choovio Inc’s principal place of business.

7. Entire Agreement
These Terms represent the entire agreement between the parties regarding the Gateway offer and supersede all prior understandings or agreements, whether written or oral.
